<p><strong>What are the material issues the company has identified?</strong></p>
<p>In its 2016 Corporate Responsibility Report Baxter identified a range of material issues, such as innovation that expands access to care, ethics and compliance, employee health and safety, workplace culture. Among these, promoting responsible procurement stands out as a key material issue for Baxter.</p>
<p><strong>Stakeholder engagement in accordance with the GRI Standards</strong></p>
<p>The Global Reporting Initiative (GRI) defines the Principle of Stakeholder Inclusiveness when identifying material issues (or a company’s most important impacts) as follows:</p>
<p><a href="https://www.globalreporting.org/standards/gri-standards-download-center/gri-101-foundation-containing-standard-interpretation-1/" target="_blank" rel="noopener noreferrer">“The reporting organization shall identify its stakeholders, and explain how it has responded to their reasonable expectations and interests.”</a></p>
<p>Stakeholders must be consulted in the process of identifying a company’s most important impacts and their reasonable expectations and interests must be taken into account. This is an important cornerstone for CSR / sustainability reporting done responsibly.</p>

<p>To identify and prioritise material topics Baxter carried out interviews with both internal and external stakeholders, who included customers, suppliers and partners, governmental agencies, investors, sustainability experts and industry and patient organisations.</p>

<p>In its 2016 Corporate Responsibility Report Baxter reports that it took the following actions for promoting responsible procurement:</p>

<li><strong>Implementing standards and policies</strong></li>
<li>Baxter’s Supplier Quality Standards and Ethics and Compliance Standards for Suppliers outline its expectations and requirements for all suppliers in this area. Additionally, as outlined in Baxter’s Global Human Rights Policy, Baxter respects human rights, dignity and the diverse contributions of all individuals and works to make sure that its suppliers share its high standards. Moreover, Baxter’s Modern Slavery Statement declares Baxter’s commitments and approach to ensuring that its UK operations and supply chain are free from modern slavery such as child labour, forced and bonded labour, and human trafficking. To integrate these standards and policies into its business, Baxter considers social and environmental criteria in its purchasing decisions, and incorporates corporate responsibility criteria into its requests for proposal and supplier contract templates.</li>
</ul>

<li><strong>Carrying out supplier audits</strong></li>
<li>Baxter launched its supplier audit pilot programme in 2016, and carried out one audit in Asia Pacific, two in North America and two in Europe. The audit format, aligned with the Pharmaceutical Supply Chain Initiative (PSCI) protocol, covers ethics, labour, environmental, health and safety, and related management systems. In 2016 Baxter also developed an overarching strategy and a risk-based approach to manage supply chain corporate responsibility risks, designed to help Baxter structure and prioritise its engagement in this area.</li>

<li><strong>Conducting a </strong><strong>Supplier Corporate Responsibility Survey </strong></li>
<li>At the end of 2016, Baxter invited 211 global and regional top direct and indirect suppliers to participate in its Supplier Corporate Responsibility Survey, a key part of Baxter’s due diligence. The survey covers programme governance as well as environmental, social, and health and safety aspects. Eighty percent of the 211 suppliers surveyed responded, and Baxter provided them with a report card based on the data they provided.</li>

<li><strong>Collaborating with other members of the healthcare industry</strong></li>
<li>Baxter collaborates with other members of the healthcare industry to increase its influence, improve efficiency and advance responsible procurement. Baxter is, thus, a member of the Pharmaceutical Supply Chain Initiative (PSCI), a healthcare industry group focusing on responsible procurement, risk mitigation and supplier capability building. Baxter encourages its suppliers to participate in the PSCI supply chain audit programme and takes part in the PSCI Supplier Capability Building Committee, which creates resources and training to help suppliers improve their performance. In addition, as a corporate member of the Sustainable Purchasing Leadership Council (SPLC), Baxter works to advance the organisation’s mission of supporting and recognising purchasing leadership that accelerates the transition to a prosperous and sustainable future. In 2016, Baxter collaborated with other member organisations to pilot a small/medium enterprise (SME) Supplier Sustainability Maturity Model, to help SMEs establish sustainability within their companies.<strong> </strong></li>

<p>In its 2016 Corporate Responsibility Report Baxter identified a range of material issues, such as product innovation, ethics and compliance, employee health and safety, responsible procurement and logistics, serving communities. Among these, reducing energy use stands out as a key material issue for Baxter.</p>

<p>The Global Reporting Initiative (GRI) defines the Principle of Stakeholder Inclusiveness when identifying material issues (or a company’s most important impacts) as follows:</p>

<p>To identify and prioritise material topics Baxter conducted interviews with its internal and external stakeholders, including customers, suppliers and partners, governmental agencies, investors, sustainability experts and industry and patient organisations.</p>

<p>In its 2016 Corporate Responsibility Report Baxter reports that it took the following actions for reducing energy use:</p>

<li><strong>Carrying out site-specific energy assessments </strong></li>
<li>Site-specific energy assessments enable Baxter to identify opportunities to conserve energy and to implement and share new technologies and best practices across the company. In 2016, Baxter conducted energy assessments at 10 facilities globally, identifying 189 potential energy conservation projects with possible annual savings of $4.8 million. Facility personnel also uncover potential energy conservation projects.</li>

<li><strong>Implementing energy conservation projects</strong></li>
<li>In 2016, Baxter implemented 212 energy conservation projects that saved over $5.6 million and 298 trillion joules of energy annually, avoiding more than 16,000 metric tons carbon dioxide equivalent (CO2e) of GHG emissions.</li>

<li><strong>Increasing renewable power use</strong></li>
<li>In 2016, at manufacturing sites in Europe, Baxter increased renewable power use to 73 per cent of total electricity, compared to 51 per cent in 2015. At the same time, Baxter saved $3.3 million through its global energy sourcing strategy.</li>

<li><strong>Operating a Lean Energy Programme</strong></li>
<li>Baxter operates a Lean Energy Programme for its main manufacturing facilities since 2007. It includes four sets of Lean Energy standards: Prerequisite, Bronze, Silver and Gold. Each one defines 14 to 35 requirements a facility must satisfy at that level, focusing on process and system energy efficiency. By year-end 2016, 38 sites had achieved Prerequisite status. In addition, by the end of 2016, five company locations met the requirements of the ISO 50001 standard, as verified by an accredited third party.<strong> </strong></li>

<p>In its 2016 Corporate Responsibility Report Baxter reports that it took the following actions for promoting business integrity and compliance:</p>

<li><strong>Providing legal and regulatory compliance training</strong></li>
<li>In November 2016, Baxter refreshed its Code of Conduct and all employees had to complete the corresponding training, in person or through an online training module. Baxter employees also complete over 20 e-learning courses every year, on various topics. These include adverse event reporting procedures, Baxter’s ethics and compliance standards, data privacy, Baxter’s Global Interactions Policy, trade compliance and workplace violence prevention.</li>
</ul>

<li><strong>Enhancing third party compliance</strong></li>
<li>Baxter’s Third Party Program, policy and training summarize the standards and processes according to which new and existing third parties are reviewed, retained and monitored for compliance with the company’s anticorruption expectations. In addition, Baxter employees receive training on the company’s Third Party Program. The company also provides training to all new and existing third parties, as a part of its review and retention procedure.</li>

<li><strong>Carrying out compliance assessments</strong></li>
<li>Every year Baxter carries out risk audits and assessments covering, among others, corruption. Baxter’s Corporate Audit and Ethics and Compliance functions choose locations of operations to audit and assess based on a number of factors. These include size, Transparency International’s Corruption Perception Index, the nature of interactions with the medical community and third parties, industry trends and the results of local and regional compliance monitoring and investigations. In 2016, Baxter carried out three compliance assessments using Ethics and Compliance and Corporate Audit resources. The assessments showed constant progress in awareness, understanding and implementation of the company’s anticorruption programs. Additionally, Baxter conducted compliance self-monitoring in 49 countries.</li>

<li><strong>Promoting transparency </strong></li>
<li>Baxter strives to achieve transparent reporting regarding its relationships with the medical community and government officials. Thus, Baxter continually implements anticorruption programs, to ensure those relationships and related payments are for necessary and genuine services. In addition, in 2016 Baxter completed the worldwide launch of its Global Interactions Policy. This policy outlines when and how it is acceptable to provide members of the medical community or government officials with any payment of monetary value or other benefit.</li>
